Important Notice on Legal Framework: Because our technical advisory services are rendered exclusively within a commercial Business-to-Business (B2B) framework, all statutory consumer protection rights, cancellation rights, or consumer-grade cooling-off periods are strictly inapplicable by definition. Consequently, all processed fees represent irreversible, fully earned compensation contractually permanently secured by default. However, the parties contractually agree to the following exclusive "Commercial Guarantees and Contractual Remedies" as defined below (Subject to Article 3.2): • Diagnostic & Strategic Assessment Guarantee (Phase 2): As an exclusive commercial commitment to demonstrate professional precision, the processed baseline fee contractually converts into 100% irreversible, fully earned compensation immediately upon the transaction clearance. In the unlikely event of any definitive delivery delays under Article 3.4.1, the corresponding ten percent (10%) liquidated damages settlement shall be strictly executed through a client-issued inverse-billing protocol as specified under Article 3.4.9, contractually locked as a strict one-way transaction without utilizing any Stripe system-level reversals. Once the technical report has been successfully delivered, the entire processed capital remains permanently secured and remains final. • Daily Allowance Policy and Success Fee Policy (Phase 3):In the event of any schedule cancellations, transit delays, service interruptions, or project extensions caused by the Consultant's circumstances, any resulting financial adjustments shall be strictly executed via a client-issued inverse-billing protocol as specified under Article 3.4.9. Conversely, in the event that the Client fails to clear any accrued payment obligations or the earned Success Fee upon verification, such defaults shall be immediately resolved via Consultant-issued additional invoices or direct bank wire transfers.
